Strong governance is central to how Ventura manages and oversees investor portfolios. Our structure brings together the oversight of an ASX-listed parent, a dedicated Ventura Board, investment committees, and an independent superannuation trustee.

Group oversight from an ASX-listed parent flows down through the Ventura Board to the Investment Committee that handles day-to-day decisions. For super, an independent trustee runs in parallel.

Centrepoint Alliance Board

Parent — Group-level oversight

Ventura is a wholly owned subsidiary of Centrepoint Alliance Limited, an ASX-listed financial services group. As 100% owner of Ventura, the Centrepoint Alliance Board provides group-level oversight, strategic direction and risk governance across all subsidiaries, including Ventura.

This ownership structure ensures Ventura operates within a robust listed-company governance framework, with clear accountability, regulatory discipline and a strong focus on the best interests of clients and members. The Centrepoint Alliance Board sets the tone for risk culture, compliance and ethical conduct across the group, which flows through to Ventura’s own governance arrangements.

Ventura Board

Tier 1 — Ultimate responsibility

The Board of Ventura Investment Management Limited has ultimate responsibility for governance across Ventura’s products and services, including VMAPS, the IconiQ platform and managed portfolios. The Board approves the overarching governance frameworks, including key policies, delegated authorities and risk controls, and provides oversight of the Investment and Compliance Committees’ activities.

Ventura Investment Committee

Tier 2 — Day-to-day governance

Day-to-day investment governance is delegated by the Board to the Ventura Investment Committee, operating under a formal, Board-approved charter. The Committee is responsible for approving initial portfolio designs, overseeing asset allocation, and approving changes such as rebalancing, manager changes and implementation adjustments over time.

The Committee reviews portfolio performance, risk characteristics and implementation outcomes on an ongoing basis, drawing on investment research, manager reports and independent insights. Where Ventura portfolios are offered through platforms without a third-party responsible entity, the Ventura Investment Committee acts as the primary investment decision-making body. Where a third-party responsible entity is involved, governance is coordinated through joint or parallel committee arrangements to ensure appropriate oversight and clear accountability are maintained.

Equity Trustees Superannuation Limited

Parallel — Compliance oversight

Ventura Investment Management Limited operates a Compliance Committee, with majority-independent members, as part of its governance framework. The Committee reports directly to the Ventura Board.

Its role is to provide oversight of Ventura’s compliance obligations, monitor adherence to regulatory requirements and internal policies, review compliance incidents and remediation actions, and provide advice to the Board on compliance risks and regulatory developments. The Committee supports strong compliance practices, effective governance and investor protection across Ventura’s investment activities.

Ventura Compliance Committee

Parallel — Independent trustee

For superannuation products, Equity Trustees Superannuation Limited (ETSL) acts as the independent superannuation trustee. ETSL is owned by EQT Holdings Limited, an ASX-listed company with a long history in fiduciary and trustee services.

As the superannuation trustee, ETSL is responsible for overseeing the relevant superannuation funds in the best financial interests of members, including compliance with superannuation law, fund governance and member outcomes. ETSL is the independent trustee for the IconiQ Super Wrap, while Ventura acts as the promoter, bringing investment expertise, product design and distribution capability together under a robust, independently supervised trustee framework.
